Italy’s Lottomatica and Spain’s Cirsa have announced plans to merge in an all-share deal that both companies say will create one of the largest listed gambling groups in the world.
Italian gaming group Lottomatica has unveiled a merger with Spanish gaming powerhouse Cirsa, which would, according to company officials, create a “global gaming champion,” with the agreement seeing the former company merge with the latter in an all-share deal.
The tie-up was confirmed to investors on 2 September 2026.

What’s actually changed

Lottomatica Group has informed the Borsa Milano that it intends to merge with CIRSA Enterprises through an all-share transaction, with a prospectus issued to Milan investors detailing Lottomatica’s plans to lead the combination of the businesses and establish outright market leadership in Italy and Spain.
Cirsa, which operates gaming halls, slot arcades and casino venues across Southern Europe and Latin America, has been owned by private equity firm Blackstone.

The financial terms give a sense of the scale involved:
as part of the deal Cirsa has been valued at 6x its expected 2026 EBITDA of €800 million.
Coverage of the announcement has described the combined business as set to become the second-largest listed operator in the global gambling sector by market value, sitting behind only the very biggest international groups once the deal completes.

Both companies frame the transaction as a way to consolidate their existing strength in two of Europe’s most mature regulated gambling markets, rather than as an entry into new territory. Neither firm has suggested the deal changes their presence, licensing status or product offering in Great Britain.
